Welcome to the Kovix & Zovii product family website. This Website Terms of Use Agreement (the "Agreement") sets forth (Kovix & Zovii systems referred to as "Kovix" or "we") the agreement with each user (" User ", "your" or "you") regarding your use of the Website, the Kovix Rewards Program (the "Rewards Program"), Kovix The Evaluation Program (the "Evaluation Program"), the Kovix Automatic and Subscription Discount Program (the "Automatic Subscription and Discount Program"), and the Kovix Privacy Policy (the "Privacy Policy"). By using the Website and/or participating in a rewards or evaluation program or Automated Order and Discount program, or by disclosing any personal information to us, you are:

(i) You agree that you have read and understood the terms of this Agreement,

(ii) You accept and agree to be bound by the terms of this Agreement, and

(iii) You accept and agree to comply with all laws and regulations applicable to the subject matter of this Agreement.

If you do not agree to the terms of this Agreement, please do not visit or otherwise use the Site, participate in reward programs or evaluation programs, and do not disclose any personal information to us. The terms of this Agreement may change periodically and may be amended at our sole discretion at any time by updating this notice.

Any alteration, loss/risk of alteration as a result of the modification of this Agreement: All products are purchased in accordance with the corresponding Incoterms specified at the time of placing the order.

Kovix's Code of Conduct (the "Code") is the primary means by which our organization communicates its expectations of ethical conduct on behalf of any of Kovix's customers, suppliers, or stakeholders, and serves as a guide to Kovix's ongoing efforts to provide its customers with the best products.

The purpose of this Code is to:

a.) Promote fair and ethical behavior;

b.) Promote compliance with governmental laws, regulations and ethics;

c.) Promote fair trade;

d.) suppression of wrongful acts;

e.) Follow through and comply.

Code of Conduct and Prohibited Activities:

At the core of the Kovix Code of Conduct is a commitment to the principles of honesty, integrity and ethical decision-making. We must therefore emphasize that all Kovix customers, suppliers and stakeholders must comply with the principles set out in this Standard and agree to the following:

a.) Ensure compliance with applicable regulatory requirements of their respective local and national governments;

b.) Not to conduct any false or misleading advertising or make any disparaging statements about competitors' similar products or services;

c.) Comply with local tax regulations and comply with the rules of the jurisdiction related to their activities and compliance with Kovix purchases;

d.) Not to participate in any public discussion or make any comments that may be construed as Kovix statements or opinions, and customers, suppliers and stakeholders agree that they are responsible for the use and communication of such information;

e.) Demonstrate professionalism, tolerance and respect for the ideas and rights of others in any statement;

f. ) Provide accurate, true, complete and up-to-date information;

g.) Do not include any information on any of Kovix's platforms or any of our platforms or products sold by Kovix for any illegal purpose;

h.) Not post or disseminate any unlawful, defamatory, defamatory, obscene, indecent, threatening, offensive or otherwise objectionable material, including any place that encourages illegal conduct or encourages civil liability, infringes on the intellectual property rights of others or otherwise violates any applicable manner;

i.) Do not change any materials or add any additional information that may mislead customers;

j.) The use of names or avatars shall not imply the endorsement or sponsorship of Kovix by individuals or companies or business connections with Kovix;

k.) Does not include, display or otherwise use links or content containing or relating to malicious or harmful program code, or any application that must be notified to and expressly authorized by the user prior to download.

Reported suspected violations: 

Kovix takes this Code seriously and therefore wishes to emphasize that the responsibility to report misconduct applies to everyone. Such behavior has been reported.

By purchasing products on this website, you agree that all product purchases will be made in accordance with INCOterms specified at the time of placing the order. Ownership of any product you purchase will pass after we deliver it to the carrier or customer. You are responsible for determining and complying with all applicable local laws regarding the receipt, possession, use and sale of any goods purchased from this site.

4. Use and Termination: 

By using the Website and/or participating in the Rewards Program, Evaluation Program and/or Automatic Subscription and Discount Program, you represent and fully agree that you are at least 18 years of age and capable of agreeing to the terms set forth in this Agreement or the terms and conditions of any program. If you are under the age of 18, you may not use this website or participate in any program.

a.) Account Setup and Use You may be asked to create an account on this site in order to use certain features. When creating an account, you agree to provide accurate, true, complete, and current personal Information about you as prompted by this website and to update such information in a timely manner to keep it accurate, true, complete, and current. If you provide any information that is incorrect, false, incomplete or out of date, or if we suspect in our sole discretion that such information is incorrect, false, incomplete or out of date, we reserve the right to suspend or terminate your account and bar you from current or future use of the Site, or any portion of it. During the registration process, you will create a username and password. You are responsible for maintaining the confidentiality of your account and password and are fully responsible for all activities that occur under your account or password. You agree to notify us immediately of any unauthorized use of your account or password or any other peace of mind breach, and to ensure that you log out of your account at the end of each session. You agree to be responsible for all charges arising from the use of your account on the Site, including charges arising from unauthorized use of your account. You are solely responsible for any loss or damage resulting from your failure to comply with this section.

b.) Use of the Site You agree to use the Site and participate in the Program for lawful purposes and disclose your responsibility for use and communication on the Site. Offensive or otherwise objectionable material, including any material that encourages illegal conduct or encourages civil liability, infringes the intellectual property rights of others, or otherwise violates any applicable local conduct. You do not agree to access this website by any means other than the interface provided by us. Must comply with all applicable laws, rules and regulations. We represent that the information contained on this site or the products described or offered on this site are applicable to or available for use in jurisdictions other than Hong Kong, nor do we represent that this Site Agreement complies with the laws of any other country. At your own risk and responsibility to comply with all applicable laws and regulations, and undertake to determine at the time of purchase whether the laws of your country and applicable government agencies allow the import of the relevant products. The content of the Site is illegal, you agree not to visit the Site at other locations, and you (other than us) are responsible for complying with all applicable laws and regulations.

c.) Termination or Suspension This Agreement shall remain in effect until terminated by us or you. We may, in our sole discretion, suspend or terminate this Agreement at any time without notice and deny you access to the Site or any portion of it. You may contact us at any time to terminate this Agreement and to discontinue your use of the Website, the Rewards and Ratings Program and the Auto-Order and Discount Program. Upon termination of this Agreement by us or by you, you must destroy all materials obtained from the Site, including all copies of such materials, whether made in accordance with the Terms of Use set forth in this Agreement or otherwise. We reserve the right to modify or discontinue the Site, or any portion of it, temporarily or permanently with notice to you.

d.) Account termination We reserve the right to terminate any account if your order is deemed fraudulent or credit card charges are disputed. You agree that we may terminate or suspend your access to the Site, in whole or in part, with or without notice, for any conduct that we believe violates any part of this Agreement, law or regulation, or is harmful to other users or to us or our affiliates.
